1. Purchase Order Terms and Conditions for:
Counterfeit Electronic Parts Avoidance: The seller shall ensure that only new and authentic materials are used in products delivered to LPI. The Seller may only purchase parts directly from Original Component Manufacturers (OCMs), OCM authorized (franchised) distributors, or authorized aftermarket manufacturers. Use of a product that was not provided by these sources is not authorized unless first approved in writing by LPI. If suspect/counterfeit parts are furnished to LPI by seller under the purchase order or are found in any of the Products delivered hereunder, such items will be impounded by LPI. The seller shall promptly replace such suspect/counterfeit parts with parts acceptable to LPI. The seller shall be liable for all costs relating to the removal and replacement of said parts, including without limitation, LPI’s external and internal costs of removing such counterfeit parts, reinserting replacement parts, and any testing necessitated by the reinstallation of seller’s products after suspect/counterfeit parts have been exchanged. Seller shall be fully liable for all such costs, even if such cost might be considered indirect, special, or consequential damages. Seller’s liability for suspect/counterfeit parts shall not expire for sixty (60) months after delivery. At LPI’s request, seller shall return any removed suspect/counterfeit parts to LPI in order for further investigation.
Right of Access: Sellers understands that by accepting an LPI Purchase Order, they are allowing the right of access to LPI, LPI customers, and any regulatory authority to the Seller’s facilities and applicable documentation.
2. Copyright:
All content on this Website, including but not limited to text, images, graphics, logos, videos, and software (“Content”), is the property of Liberty Partners or its licensors and is protected by United States and international copyright laws. Unauthorized use, reproduction, modification, distribution, or republication of any Content without prior written permission from Liberty Partners is strictly prohibited.
You may view, download, or print Content for personal, non-commercial use only, provided you retain all copyright notices and do not modify the Content. Any other use requires express written consent from Liberty Partners.

The Website and its Content are provided “as is” without warranties of any kind, express or implied. Liberty Partners is not liable for any damages arising from your use of the Website, to the fullest extent permitted by law.
7. Vendor Quality Requirements:
The vendor shall maintain a Quality System that is compliant to ISO 9001, AS 9100, 14 CFR Part 21 Production Approval, 14 CFR Part 145 Repair Station Certification, or an equivalent industry-recognized quality system or standard. Liberty Partners recognizes third- party certifications issued by an accredited Certification Registration Body (CRB). The scope of third-party certification must be appropriate for the type of product or service provided to Libert Partners. If no certifications, the vendor shall complete a vendor survey for approval by Liberty Partners.
Note: Vendors providing calibration services are subject to specific requirements.
Initial and subsequent periodic review of vendor’s quality system may be performed at the option of Liberty Partners. Objective evidence of vendor compliance, either by submittal of requested evidence or evidence of a third party accreditation, may be acceptable for the purpose of re-survey.
8. Certificate of Conformance:
Supplier/vendor to certify that all articles in PO shipment, in quantities shown on the purchase order, are in conformance with the requirements, specifications and drawings applicable to that purchase order. Inspection / Test data is on file and available for review upon request.
Supplier/vendors shall provide a Certificate of Conformance with every shipment. The Certificate must include the following, as applicable:
- Part number and description
- Lot or serial number (as applicable)
- Purchase Order number and PO line item
- Quantity
- Statement of conformance to applicable drawings, specifications or other technical data.
- Signature of authorized agent of the manufacturer or distributor and position held.
- Location of inspection records for review by Liberty Partners (or its customer), if requested.
9. Material Certification Required:
Supplier/Vendor shall supply Mfg. material certification for all materials sold and provided to make product.
Raw Material
Metallic raw materials shall be identified in accordance with Federal Standard 184, or ASTM B666, as applicable. Sheet materials shall have identification markings placed on the “non‐preferred” side of sheet. Supplier/vendor maintains a copy of all supplier/vendor‐procured raw material certifications, which must be readily retrievable and shall include material specification, description, alloy and condition. The supplier/vendor shall maintain the mill certification for procured metallic material that shall include physical properties, chemical analysis, and heat‐lot number. Distributors of metallic raw material shall include a copy of the original mill certification with the shipment of deliverable material. Non‐metallic raw materials shall also include material specifications, and certificates of conformance. Non Domestic Materials are not allowed to be used unless approved by Liberty Partners PO.
Preference for Domestic Specialty Metals
Reference the Defense Federal Acquisition Regulations (DFAR) Sect. 252.225‐ 7014, and the Federal Acquisition Regulations (FAR) Part 25. Unless otherwise specified on the purchase order, shipments of metallic raw material meeting the Specialty Metals definition in DFAR 252.225‐7014 are subject to the Qualifying Country Source restrictions, found in DFAR Supplemental Clause 225.872.
10. Scope and Acceptance
These Supplier Terms and Conditions (“Terms”) apply to all purchase orders, contracts, and agreements issued by Liberty Partners (“Liberty Partners,” “we,” “our”) to any supplier, subcontractor, or service provider (“Supplier”). Acceptance of a Liberty Partners purchase order constitutes acceptance of these Terms unless otherwise agreed in writing.
11. Quality Management System Requirements
Suppliers shall maintain a quality management system appropriate to the products and/or services provided, and compliant with applicable requirements, including but not limited to:
- AS9100 / AS9120 / ISO 9001 (as applicable)
- FAA regulations when supplying aviation-related products or services
- Customer, regulatory, and statutory requirements identified on the purchase order
- When needed approval may be granted based on supplier evaluation using vendor survey.
Liberty Partners reserves the right to verify compliance through audits, inspections, or records review.
12. Flow Down of Requirements
Suppliers are responsible for flowing down all applicable requirements of Liberty Partners purchase orders, drawings, specifications, and these Terms to their sub-tier suppliers, including:
- Quality requirements
- Product and service conformity
- Product safety
- Ethical behavior
- Regulatory and statutory compliance
13. Product and Service Conformity
Suppliers shall:
- Provide products and services that conform to all specified requirements
- Use only approved materials, processes, and sources when required
- Notify Liberty Partners prior to shipment of any nonconformance or deviation request
- Obtain written approval before implementing deviations or substitutions
14. Change Control
Suppliers shall notify Liberty Partners in writing and in advance of any changes that may affect product or service conformity, including but not limited to:
- Design changes
- Manufacturing processes
- Inspection or test methods
- Materials or suppliers
- Facility location or ownership
No changes may be implemented without Liberty Partners’ written approval when required.
15. Right of Access
Liberty Partners, our customers, and applicable regulatory authorities (including the FAA) shall be granted right of access to applicable facilities, records, and processes related to the fulfillment of Liberty Partners purchase orders, upon reasonable notice.
16. Inspection and Test
All products and services are subject to inspection and verification by Liberty Partners, our customers, and/or regulatory authorities at any stage of production or after delivery. Acceptance by Liberty Partners does not relieve the Supplier of responsibility for meeting all requirements.
17. Records Retention
Suppliers shall retain quality and inspection records for a minimum of:
- 10 years, unless otherwise specified by contract, regulation, or customer requirement
Records shall be made available to Liberty Partners upon request.
18. Product Safety
Suppliers shall ensure product safety throughout the supply chain by:
- Preventing the use of counterfeit, suspect, or unapproved parts
- Implementing controls to detect and prevent product safety risks
- Promptly notifying Liberty Partners of any product safety concern
19. Counterfeit Parts Prevention
Suppliers shall have controls in place to prevent the introduction of counterfeit parts, including:
- Purchasing from original manufacturers or authorized distributors
- Maintaining traceability to the original source
- Providing objective evidence of authenticity upon request
20. Ethical Behavior
Suppliers shall conduct business ethically and in compliance with applicable laws and regulations. This includes:
- Prohibition of bribery, fraud, or corruption or misrepresentation of facts
- Accurate reporting and truthful communication
- Protection of confidential and proprietary information
- Accuracy of certification documents or any other quality documents
Failure to comply with this will result in automatic removal of approval.
21. Corrective Action
Suppliers shall:
- Promptly respond to corrective action requests
- Perform root cause analysis
- Implement effective corrective and preventive actions within agreed timelines
Liberty Partners reserves the right to conduct verification of corrective actions at the supplier/ vendor facility.
22. Packaging, Handling, and Delivery
Suppliers shall package, handle, and ship products in a manner that prevents damage, deterioration, or contamination and ensures safe delivery. Delivery dates specified on purchase orders are mandatory unless otherwise agreed in writing.
Foreign Object Debris/ Damage
Supplier/vendor shall maintain good housekeeping and where applicable a Foreign Object Debris/Damage (FOD) prevention program, to preclude introduction of foreign objects into any deliverable item. Supplier/vendor shall employ appropriate housekeeping practices to assure timely removal of residue/debris generated during manufacturing operations or tasks. Supplier/vendor shall determine if sensitive areas that have a high probability for introduction of foreign objects should have special emphasis controls in place for the manufacturing environment.
23. Confidentiality
All Liberty Partners data, drawings, specifications, and information are confidential unless otherwise authorized in writing. Suppliers shall not disclose such information without prior written consent.
24. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, unless otherwise specified by contract.
25. Order of Precedence
In the event of a conflict, the order of precedence shall be:
- Liberty Partners Purchase Order
- Contract or Agreement
- Drawings and Specifications
- These Supplier Terms & Conditions
26. Vendor Charge Backs
In addition to, any and all, remedies available in law and equity, Liberty Partners reserves the right to charge a Supplier/Vendor for losses from non‐conformances including counterfeit parts, Liberty Partners furnished items and/or failure to comply with the contract and purchase orders.
27. Acknowledgement
By accepting a Liberty Partners purchase order, the Supplier acknowledges and agrees to comply with these Supplier Terms and Conditions.
